Cada uno de esos factores mueve el múltiplo más que un punto adicional de ingresos netos mueve la base.
Por eso la pregunta práctica casi nunca es "cuánto vale" sino "qué está deprimiendo el múltiplo y se puede arreglar antes de la venta".
Estos tres juntos son la firma. Uno solo suele indicar otra cosa.
✓ Estás a pocos años de una transacción y sigues reportando ingresos netos sin separar el take rate de pagos de la economía del lending ni normalizar por charge-offs.
✓ Una parte importante del TPV y del margen de contribución proviene de comercios cuyas relaciones dependen del CEO o del CFO y no de procesos repetibles de ventas o producto.
✓ Los ingresos son mayoritariamente no recurrentes o están concentrados en canales donde hay que volver a gastar CAC cada período y las tasas de charge-off están subiendo.
La acción que suele empeorarlo. Optimizar el take rate combinado el año antes de la venta sin tocar concentración, recurrencia, dependencia del dueño ni la tendencia de charge-offs, lo que suele añadir menos valor que corregir uno de esos factores.
