Ägare brukar se värdering som ett multipel på nettointäkter. Köpare bedömer hur stor del av intäkterna som överlever efter kreditförluster och upplåningskostnader – därför säljs två fintechbolag med samma nettointäkter för helt olika summor. Utlåning låser P&L och flyttar intäkter från en multipel till en annan.
Drivkrafterna är desamma: hur koncentrerad kundbasen är, hur stor del av take rate som återkommer utan ny CAC, hur beroende bidragsmarginalen är av relationer hos vd eller cfo, och hur hållbar marginalen ser ut givet kreditförlusttrender de närmaste åren. Varje sådan faktor påverkar multipeln mer än en extra procent nettointäkt påverkar basen.
Därför handlar den praktiska frågan oftast inte om "vad det är värt" utan om "vilken av dessa faktorer sänker multipeln, och går den att fixa innan en försäljning".
De här tre tillsammans är signaturen. En ensam pekar oftast någon annanstans.
✓ Du är inom några år från en transaktion men redovisar fortfarande nettointäkter utan att skilja på betalnings-take rate och utlåningsintäkter eller normalisera för kreditförluster.
✓ En stor del av TPV och bidragsmarginal kommer från kunder vars relationer sitter hos vd eller cfo istället för i återkommande försäljnings- eller produktprocesser.
✓ Intäkterna är till stor del engångsbetonade eller koncentrerade till kanaler där CAC måste läggas ut på nytt varje period och kreditförlusterna stiger.
Steget som brukar göra det värre. Att optimera blandad take rate året före en försäljning medan koncentration, återkommande intäkter, ägarberoende och kreditförlusttrender lämnas orörda – vilket oftast ger mindre värde än att åtgärda en av dem.
